Spider-Man has his spidey-sense and can dodge gunfire at point-blank range. Plus his sheer strength could devastate Nightcrawler, giving him several advantages.

The only way I could foresee Nightcrawler winning is if he managed to get ahold of Parker and teleporting them both to someplace extremely hostile/dangerous and then running/teleporting away
