Okay, here goes.
The Peter that was killed by the Goblin was actually Scorpion. Peter disappeared after things went boom at Sanctum Sanctorum fighting Dormamu during Ultimatum. The real Peter has been stuck between dimensions all this time. This is where we got in the post Ultimatum Requiem, everyone thought spidey was dead. Flash forward to Ultimate Comics, he's there.
Fury couldn't let Peter stay dead, not when he had a fully functional clone on hand. Surgically removed the cybernetics and tail, spit his fused fingers, and had Jean Grey make him believe he was the original because why not.
After Galactus happened, and the various space time rifts, Peter found his way home.
That is my theory. Just convoluted enough and full of carefully noticed setup to work.

I think they've just realized that absurd potential a Spidermen book has. Seriously, people were disappointed by Spidermen because it was over too quickly, and there was no time for the plot to breathe; this might be a good one.
I'll admit that I've always been slightly disappointed by the Ultimate universe, because it didn't live up to the potential. USM is good, but it would've be a lot more interesting if they threw in some twists on the formula. Like, organic web-shooters for Spidey, choosing Gwen over Mary Jane, being loved by everyone instead of feared and despised...That kind of thing.
They did deliver on some stuff - Like Ock being dead for good, and the aforementioned 'People love Spidey!' - but there's a lot of retreads. Everything to do with Ultimate X-Men, for instance. The constant backsliding on the Ultimate Fantastic Four, and the fact that Sue is now the biggest bitch of all time.
Oh, and introducing Matt Murdock as Daredevil...To kill him off as an aside. Then ANOTHER yellow-suited Daredevil...And killing him, too, in a terrible Ultimates story arc about vampires. That was dire.
