As long as the gas mixture you're breathing still contains a sufficient partial pressure of oxygen, it's actually safer than breathing air.
If it doesn't contain sufficient oxygen, you'll suffocate if you breathe it for too long. Duh. (But because helium is lighter than air, it will rapidly leave your lungs if you take normal breaths of air, so taking a hit off a helium balloon is still about as safe as holding your breath.)
However, because your body can't actually detect lack of oxygen - it instead senses the build-up of excess CO2 - if you breathe pure helium through a facemask, or hold your breath while your lungs are full of helium, you will die.
