I used to work at the ESRB as the PR dude and basically all I did was reply to emails all day.
This kinda shit would happen loads of times. A company like Atlus sends us a game, pays us, and we would rate it then send them a rating back. A lot of companies will pre-censor stuff for the ESRB before they send the game in because they really don't want to have to send the game back for a re-rating simply because everytime a company sent us a game they'd have to pay us.
Essentially, companies who censor stuff are either cheap as fuck, and never asked us for the rating with the original Japanese code/game because they were afraid of getting an AO rating. Or they decided internally to do so most of the time it's the former.
Yes the ESRB rates cover art too, but titties on cover art isn't even that big of a deal, what we really look for is gore/nudity but lewd things are basically completely disregarded.
Something tells me about how the cover art looks compared to the Japanese one, it was probably a decision internally but seeing how they slightly moved the characters on the left side upwards to give Morgana more room for the ESRB logo, I don't see the reason to move her out of the way and into the girl's chest area.
It could have been the cleavage that sparked the change seeing how and where Morgana's head is placed and how the characters are subtely moved upwards.

To be completely honest that most likely isn't it. Cleavage sells and Anne is a pin-up girl in advertisement and they know that her cleavage draws in people. I can promise you that the cleavage showing is very intentional.
But Atlus USA either disagrees or just disregards it altogether feeling it's wrong. Though most likely they probably have studies discussing statistics on what "anime games" that sold well and sold poorly respectively featured. And they've probably looked at it and some to the realization that sex appeal with anime aesthetics somehow does more bad than good in marketing or at the very least covers.

For one, the CERO logo is actually covering part of Morgana's face anyway, so it seems pretty fishy from the way the guy said "It was so Morgana wasn't covered by the ESRB logo"

For the former it's just that the effect couldn't be rendered well in Miiverse screenshots, so it was flattened, which gave the impression that there was more steam. The Japanese version does this, too, though. For the battle portraits, that's an outright lie. They're exactly the same.
