This kind of shit is what's wrong with the industry. After the Wild West style business of the 80's and 90's, the gaming industry is all out of Clint Eastwoods. Now we're stuck with Heath Ledgers like Randy, all fighting over their own little cum stained patch of Brokeback Mountain.
In Randy's never-ending quest to ruin as much IP as possible, he is now trying to wrestle away the rights to a mobile port of Duke Nukem 3D written by eDuke32 developer TerminX. This deal was signed with 3DRealms before Randy bought the rights to the franchise, and all the contracts that went along with it.
TerminX has been writing and maintaining the PC port for over a decade, keeping what could have been a great franchise alive. Unfortunately that's not enough for old Randy Bobandy, who would gladly do something far worse than take candy from a baby. He has to own it all.

Now assuming that this is true, the reasons are probably more nuanced than "Pitchford is Satan incarnate". It seems to me that Gearbox is working on a remaster of the Duke franchise now that they have the rights (similar to Homeworld), and competing with eDuke32 isn't an attractive prospect. Gearbox believes they have legal grounds to claim full control of the use of Duke-related products, even if those products were contracted before the IP was acquired.
How does the transfer of Duke IP rights from 3DR to Gearbox affect contracts related to that IP? Can a company make a contract related to an IP, then maintain control of that contract after losing rights to that IP? If this goes to court, it will likely settle in Gearbox's favour: the potential for brand sabotage is immense.

It would set a precedent where a company could make contracts on an IP with their own satellite companies, sell the IP for dosh, use the pre-existing contract to put out a really shitty game and tank the IP's value, buy it back for less than they sold it, then fix the shitty game to repair the brand.

Possible. But the contracts could be sold with the IP, which means cancellation-by-IP-sale is no different than cancellation 'just because'. Which - if the intent was never to complete the agreement - would place it under contract breach. No different than how things work today.
TerminX leased the rights to Duke's IP from 3DR for HTTKC, then 3DR sold the Duke IP ownership to Gearbox without selling the HTTKC contract, so 3DR can no longer provide the rights to Duke to TerminX because Gearbox now owns it. Does that mean 3DR needs to compensate TerminX for the work on HTTKC which can no longer be sold without renegotiating with Gearbox (contract breach, what Gearbox alleges)? That Gearbox is forced to accept the terms of the contract on behalf of 3DR as the new owners of the Duke IP (property lease, what TerminX alleges)? Each side believes in what benefits them most.
