Basically, Captain Marvel was a popular rival to DC's Superman in the 1940s. DC eventually sued Whiz publishing for character likeness theft in the 50s and put them out of buisness. In the 60s Marvel was already riding high on the success of their characters and saw the unused Captain Marvel copyright as an opportunity.

The original Captain Marvel was heavily popular and did represent the company during Starlin's time, but when the character dramatically died of cancer and the title passed around with the marvel's cosmic scene dying around it, it moved into the lower letter of characters grades never really finding a place since the universe around it was dead too until recently (when it got revitalized by DnA until they got bored only leaving GotG popular in their wake).

You would be suprised, crafting a three act structure forces the writer or director to actually have some kind of character arc and story. So they may be put into a corner and realize Captain Marvel Carol is an awful character and they need to use her character from Ms Marvel. The quality control of these Marvel movies has been pretty good, even Thor had a pretty good character arc and nice little story, I think this is the first character for a movie they're using that actually has no good comics to speak of.
