Technically, it's "Only grow underground". The part that most people call mushroom is only a reproductive organ. The mycelium is the real plant.
So they are dwarf plants (fitting, considering that you need fungus for alcoholic fermentation).

Being undead has nothing to do with light levels and "relies upon other things being dead to thrive" describes pretty much every organism. They are cool as fuck though and it's your setting so you can always just say they are undead and play it that way.

I would actually like to see a paladin who uses a crow/vulture as his symbol. He looks for sites of bloody battles or areas where massacres are about to occur, then burns (maybe actually eats once he goes nuts) the bodies to prevent them from rising. Make him a neutral to antagonistic NPC based on what the party is doing since he doesn't work to prevent murder, just cleans up after it.

I consider them to be a key ingredient of healing potions, both because they contain an anticoagulant and because healing potions requiring a mushroom that looks like a bloody tooth specifically grown on the corpse of a dead holy man makes healing potions have a cost that isn't GP expensive, but explains why they don't get mass produced.

You could make a whole order of Paladins/Clerics based off this. The Order of the Sable Wing (too edgy?) could be a rabidly anti-undead group from various faiths who all lost something to the cold grip of the restless dead. Originally founded in a kingdom wracked by a ghoul plague, the Order's soot-blackened figures roam the land, rousting out ghoul nests, haunted sepulchers, and vampire lairs. The most visible, and controversial, activity of the Order is their presence at battlefields. Though some members do their best to lend aid to the wounded, all will make sure the dead do not rise, erecting massive pyres and consecrating the ashes. Old campaigners whisper that some of the Order aren't too picky about if the victim is dead or just nearly there, and tales abound about the screams of burning casualties tossed on the fire.

They tend not to grow on more complex life forms. Insects are where you get cordyceps, but after that they can't deal with the biology. They can grow in places where the body is compromised in some way, like athlete's foot and fungal infections.

Otherwise, different varieties have different favorite places to grow. Some grow in sandy earth, others loamy, living trees, dead wood, specific dead tree matter, bark, poop, specific poop, rocky soil, dead animals, dead plants, other mushrooms... You get different varieties for different regions and different spreads of them in the same environment based on what's around.

Also, don't forget fairy rings. Some mushrooms grow into fairy rings and there's a whole lore about that, too.

As an animal, I convert oxygen into carbon dioxide (fun fact: plants consume more CO2 than they produce, so they need animals to put it back into the atmosphere to make up the difference), my eating habits help to control the population of many animals and plants, and I turn soda into urine. Also, the earth will someday reclaim my biomass and turn it into grass or something to keep the cycle going.

Also, as apex predators, we're actually quite important for a variety of reasons.

Some fungi are parasites, but a lot of them live in the roots of plants, living in a symbiotic relationship with them.
