What is a good replacement CPU for a
i5 760 2.8 ghz
running this pc with 16gb ram
geforce 970
im guessing its my old ass cpu thats slowing me down though.
OC'ing it would be something to try first before coming to the conclusion that you need to upgrade tbqh

Buy a 2nd hand i7 860 and OC it. You should be able to use the same mainboard.

if you want to, go either 2500k for cheap or 6600k for expensive, but be sure to rig it with some good air cooling (or water cooling if you like overspending)

Main reason is the FPS drop when running games and what not lets say Rust for example.
with 8 gbs of ram ssd drive nvidia 970 im getting 15-30 fps maybe? with the i5 760.. Somthing about that doesnt seem right.
So just trying to keep things on par with other parts for apps/games etc

lol well im in canada so mark up of electronics is about double of what ppl pay in USA so an i5/i7 cpu that is newer is 600$ or more in most cases. But yeah definatley want intel not amd might go with a xeon if I can find a good price for one.

Depends on how much you want to spend, but first I'd suggest OCing to see if it's good enough. Those CPUs were good overclockers, you could probably get close to ~4GHz.
As for upgrades, I'd say one of these, depending on how much you want to spend:
i5 4690K + Z97
i7 4790K + Z97
5820K + X99 + new DDR4 RAM
(or more expensive Haswell-E)
