Spider-Man has his spidey-sense and can dodge gunfire at point-blank range. Plus his sheer strength could devastate Nightcrawler, giving him several advantages.
The only way I could foresee Nightcrawler winning is if he managed to get ahold of Parker and teleporting them both to someplace extremely hostile/dangerous and then running/teleporting away
teleportation would do little against someone who can typically sense shit right as it's happening unless the plot demands otherwise
also, one has crazy super strength and the other doesn't
